Mobile App Terms

These Mobile App Terms ("Mobile Terms") are an agreement between you and Elrond Health Inc., doing business as Rivendell and, in California, as Rivendell Insurance & Administration Services ("Rivendell," "we," "us," or "our"). They govern Rivendell's mobile applications, app updates, and mobile messaging program (collectively, the "App").
For an App obtained through Apple's App Store, Apple's Standard Licensed Application End User License Agreement ("Standard EULA") and these supplemental Mobile Terms apply together. The Terms of Service and Privacy Policy are incorporated into these Mobile Terms. The California Privacy Supplement provides additional California notices. If these Mobile Terms conflict with the Terms of Service about an App-specific subject, these Mobile Terms control that subject. If these Mobile Terms conflict with the Standard EULA, the Standard EULA controls to the extent required for an App Store license.
By downloading, creating an account in, clicking to accept, or using the App, you agree to these Mobile Terms. If you do not agree, do not use the App.
1. The App is not the health plan
The App is a tool for accessing information and services. It does not create or change health coverage. Your applicable plan document, Summary Plan Description, Summary of Benefits and Coverage, enrollment materials, claims and appeals procedures, and legally required notices ("Plan Documents") control eligibility, benefits, exclusions, cost sharing, claims, appeals, and coverage.
An employer-sponsored self-funded group health plan is funded by the employer or plan trust. Rivendell is not the insurer merely because it operates the App or administers a plan. Stop-loss insurance protects the employer or plan against covered financial exposure and does not provide benefits directly to you.
Other agreements control their own subjects, including a cardholder agreement, HSA custodial agreement, bank or payment-provider terms, and a health care provider's terms.
2. Eligibility and accounts
You must be at least 18 and legally able to accept these Mobile Terms to create your own account. A parent, guardian, or authorized representative may act for another person when law and the applicable plan permit.
You agree to provide accurate information, keep it current, protect your credentials and device, and report suspected unauthorized access. Do not access another person's account or information without authority.
App access does not prove current plan eligibility. Features may differ by employer, plan, location, device, and app version.
3. Mobile license
Rivendell grants you a limited, personal, revocable, nonexclusive, nontransferable license to install and use the App on devices you own or control, only for the App's intended purposes and subject to the applicable app-marketplace usage rules.
You may not:
- copy, distribute, sell, rent, lease, sublicense, or commercially exploit the App
- reverse engineer, decompile, or attempt to derive source code except where law expressly permits it
- bypass security, access, identity, or usage controls
- use the App to violate law, another person's rights, or the Terms of Service
- introduce malware or interfere with the App
Rivendell and its licensors retain all rights not expressly granted.
4. Features
Depending on your account and release, the App may let you:
- view plan documents, benefits, balances, reimbursements, and explanations
- submit a reimbursement request, invoice, receipt, lab report, or other document
- review reimbursement status and member responsibility
- request or manage a payment card and review card or HSA activity
- link a bank account or authorize a plan-related transaction
- search for care and request scheduling support
- add an appointment to a calendar
- receive push, email, phone, SMS, or iMessage updates
- use an assistant or automated document-extraction feature
A feature shown in the App is not a promise of coverage or availability. Benefit, provider, price, balance, and transaction information can be estimated, incomplete, delayed, or subject to a plan's final determination and settlement.
5. Health information, care, and emergencies
Rivendell does not practice medicine or provide clinical care through the App. General health information, provider search, scheduling support, and assistant output are educational and administrative.
Do not disregard or delay professional care because of information in the App. A provider is responsible for the provider's clinical judgment, availability, licensure, and care.
The App is not an emergency service. If you believe you have a medical or safety emergency, call 911 or your local emergency number. Do not use an assistant or support message for an emergency.
6. AI and automated features
Automated features can produce inaccurate, incomplete, or outdated information. Review extracted invoice fields, lab information, summaries, and other output before submitting or relying on it. The App does not use AI output as a substitute for a legally required human plan review.
Some features send information to a third-party AI or document processor. Before personal information is sent to a third-party AI, the App identifies the provider, information, and purpose and requests explicit permission. The App currently uses:
- Anthropic for the member assistant, medical-history normalization, and lab extraction
- Reducto as a document processor for invoice and receipt extraction
If you decline an optional transfer, the related feature may be unavailable. You may withdraw permission for future transfers through the feature or privacy settings. Withdrawal does not undo processing already completed with permission.
7. Device permissions
The App may request:
- Location for nearby care search or a location-dependent feature
- Camera or photos to scan or upload a selected document, invoice, receipt, or card
- Calendar to add or manage a selected appointment
- Notifications for enabled plan, reimbursement, card, transaction, appointment, support, security, and legal updates
- Face ID to protect local App access
- Wallet to provision an eligible payment pass
You can decline or revoke a permission in device settings. The related feature may not work.
8. Reimbursements, cards, HSA, banking, and payments
An App display is not a final plan determination, a bank statement, or a tax record. Transactions may be pending, returned, reversed, disputed, or reconciled.
Bank linking, ACH, cards, and HSA functions are provided in part by regulated financial institutions and processors, including Increase and Stripe Financial Connections. Their agreements and privacy notices apply. When you authorize a transaction, you represent that you are authorized to use the account and that the instruction is accurate.
Report a lost card, unauthorized transaction, or bank concern through the method in the applicable financial agreement. Use the plan's claims and appeals process for a benefit dispute.
Rivendell does not provide tax or investment advice and does not guarantee HSA eligibility or tax treatment.
9. Files and user content
You retain rights you have in files, prompts, messages, and other information you submit. You give Rivendell and its processors a limited right to host, copy, transmit, format, extract, and use that content to provide, secure, and support the App as described in the Privacy Policy.
You represent that you have authority to submit another person's information. Do not upload malicious, illegal, or unrelated content.
10. Notifications and electronic records
The App may deliver plan, legal, reimbursement, card, payment, appointment, support, and security communications. You can control optional notifications in the App or device settings. Turning off notifications does not change an underlying plan, transaction, or legal deadline.
When you complete the required electronic-consent process, you consent to receive identified records and signatures electronically. You may request paper copies or withdraw electronic delivery as described in that process.
11. Mobile messaging program
This section governs recurring SMS, MMS, iMessage, and similar messages from Rivendell at the phone number you provide.
Consent and message types
When you provide a number and opt in or initiate a conversation, you consent to informational and service messages that may include:
- enrollment and eligibility reminders
- reimbursement, card, payment, and transaction updates
- appointment and concierge messages
- support responses
- security, legal, and service notices
Marketing texts require any separate consent required by law. Consent to marketing or automated texts is not a condition of purchasing a product or receiving a plan benefit.
Frequency and charges
You will not receive more than 10 recurring service messages per month, although one-time messages you request and legally required notices may be sent separately. Message and data rates may apply. Your carrier is not liable for delayed or undelivered messages. Delivery is not guaranteed.
Opt out and help
Reply STOP, QUIT, END, REVOKE, OPT OUT, CANCEL, or UNSUBSCRIBE to revoke consent for messages that require consent. You may also make a clear request through the App, email privacy@rivendell.health, or call (646) 600-8840. We will honor a reasonable revocation as soon as practicable and no later than 10 business days where that deadline applies. We may send one message confirming the opt-out and asking which programs you meant if your request is unclear.
Reply HELP or contact (646) 600-8840 for help. After opting out, you may still receive a communication that law permits without consent, such as a requested one-time response or a message necessary to protect an account, subject to applicable rules.
Channel security
SMS and MMS are not end-to-end encrypted. iMessage security depends on the participants, devices, Apple, and settings. Messages can remain on devices, carrier systems, or Apple's systems outside Rivendell's control.
Do not message a Social Security number, full account or card number, password, or detailed medical information. Use an authorized secure upload or support channel.
12. Updates, availability, and support
Rivendell may provide patches, upgrades, or new versions. An update may be required for security, law, partner compatibility, or continued access.
The App can be interrupted by maintenance, incidents, connectivity, device settings, app-marketplace action, or a partner service. Do not use the App as the only record of a time-sensitive plan, reimbursement, payment, or emergency action.
Rivendell, not Apple or Google, is responsible for App maintenance and support except where applicable law or marketplace terms say otherwise. Contact support@rivendell.health or (646) 600-8840.
13. Account deletion
You may initiate account deletion in the App. After identity and any required authority confirmation, Rivendell will close access and delete or de-identify information that it is not permitted or required to retain.
Deleting the App does not delete your account. Deleting an account does not:
- cancel health coverage or an employer or plan agreement
- withdraw or reverse a reimbursement request, benefit appeal, card, bank, HSA, or payment transaction
- end an independent agreement with a bank, custodian, or card issuer
- require deletion of plan, reimbursement, financial, insurance, security, or legal records that must be retained
The Privacy Policy explains deletion and retention. The App will identify retained categories and how to contact the relevant plan or partner.
14. Apple Standard EULA supplement
If you obtained the App through Apple's App Store, the Standard EULA supplies the App license. These Mobile Terms supplement it with Rivendell-specific health-plan, privacy, financial-service, messaging, and account terms.
These Mobile Terms are between you and Rivendell, not Apple. Rivendell is the App's sponsor and is responsible for the App, its content, maintenance, support, and claims about it as provided in the Standard EULA and applicable law. Apple has no obligation to provide maintenance or support.
You must comply with applicable third-party agreements when using the App, including wireless-service, bank, card, HSA, provider, and Apple terms. Apple and its subsidiaries are third-party beneficiaries of these Mobile Terms and may enforce the App-license terms against you after acceptance.
15. Google Play
If you obtained the App through Google Play, these Mobile Terms are between you and Rivendell, not Google. Google has no responsibility for the App, support, warranty, or claims except as its terms or law require. Google and its affiliates may be third-party beneficiaries of provisions that grant them rights.
16. Privacy
The Privacy Policy explains App data, mobile permissions, third-party AI and financial providers, retention, account deletion, and rights. A group health plan's Notice of Privacy Practices controls protected health information held for that plan.
Do not use the App if you do not agree to the collection needed for its core functions. Optional permissions and optional AI transfers can be declined as described in the App and Privacy Policy.
17. Disclaimers, liability, and disputes
The disclaimers, liability limits, and dispute provisions in the Terms of Service apply to the App. They do not limit liability that cannot lawfully be limited, a benefit payable under Plan Documents, or rights under a controlling financial agreement.
Use the claims and appeals procedure in the Plan Documents for a benefit, eligibility, or coverage dispute. Nothing in these Mobile Terms shortens a legal deadline or waives a statutory review right.

19. Changes
We may update these Mobile Terms prospectively. We will post the new version and effective date. If a change is material, the App will provide notice and request renewed acceptance when required.
Changes do not retroactively alter accrued plan benefits, completed transactions, or rights that cannot lawfully be changed.
